End User License Agreement

This End User License Agreement (the “Agreement”) governs your use of the research reports, white papers, agendas and other publications made available for download from mlsrt.com and mlsroundtable.com (each, a “Report”). The Reports are published by the Real Estate Data Roundtable and T3 Sixty, LLC (together, the “Publisher”). By downloading, opening or using a Report you accept this Agreement.
1. Licence granted
The Publisher grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to download, store, read and print a Report, and to circulate it internally within the single organization that employs you, for your and its internal business and informational purposes.
2. Reservation of rights
The Reports are licensed, not sold. The Publisher and its licensors retain all right, title and interest in and to the Reports, including all copyright and other intellectual property rights. No rights are granted except as expressly stated in this Agreement.
3. Restrictions
Except as section 4 permits, you may not:
- sell, rent, lease, sublicense, syndicate or otherwise commercially exploit a Report or any part of it;
- publish or post a Report, in whole or in substantial part, on any website, intranet available outside your organization, file-sharing service or social platform;
- distribute a Report outside your organization, including to clients, prospects or affiliates, without the Publisher’s prior written consent;
- create derivative works from, or incorporate substantial portions of a Report into, another product, report or service offered to third parties;
- remove, obscure or alter any copyright, trademark, attribution or proprietary notice;
- use a Report to train, fine-tune or otherwise develop a machine learning or artificial intelligence model, or submit it to a third-party model provider for that purpose; or
- use a Report in any way that violates applicable law, including competition and antitrust law.
4. Permitted quotation
You may quote limited excerpts from a Report — ordinarily no more than a few sentences, or a single chart or table — in articles, presentations and internal materials, provided the excerpt is not the substance of the work, is not altered in a way that changes its meaning, and is clearly attributed to the named Report and to the Real Estate Data Roundtable and T3 Sixty. Reproducing a Report’s findings at length, or systematically excerpting across multiple items so as to substitute for the Report, is not permitted under this section.
5. Nature of the content
Reports present research, analysis and opinion about the real estate industry as at the date of publication. They are not legal, financial, tax, antitrust or other professional advice, and are not a recommendation to take or refrain from any action. Nothing in a Report constitutes an invitation or agreement among any parties to fix prices, allocate markets or otherwise restrain trade. You are responsible for obtaining your own professional advice before acting.
6. Data and estimates
Reports contain statistics, estimates and forward-looking statements that are inherently uncertain and are accurate only as at the stated measurement date. The Publisher does not warrant their completeness or accuracy and is under no obligation to update a Report.
7. Disclaimer of warranties
To the fullest extent permitted by law, each Report is provided “as is” without warranty of any kind, express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
8. Limitation of liability
To the fullest extent permitted by law, the Publisher and the Roundtable’s member organizations will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, arising from or relating to a Report or this Agreement, even if advised of the possibility of such damages. Some jurisdictions do not allow certain of these limitations, in which case they apply to the maximum extent permitted.
9. Term and termination
This Agreement applies from the moment you download or open a Report and continues until terminated. It terminates automatically if you breach any of its terms. On termination you must stop using and destroy or delete all copies of the Report in your possession or control. Sections 2, 3 and 5 to 11 survive termination.
10. Governing law
This Agreement is governed by the laws of the State of California, without regard to its conflict of laws rules. The state and federal courts located in Orange County, California will have exclusive jurisdiction over any dispute arising from it, and you consent to their jurisdiction and venue.
11. Entire agreement
This Agreement is the entire agreement between you and the Publisher regarding the Reports and supersedes any prior understanding on that subject. If any provision is held unenforceable, the remainder stays in force. Requests for permissions beyond this licence, including redistribution or commercial use, should be sent to the address below.
